These Terms of Service ("Terms") govern your use of the apps, websites, and services operated by LateCheckOut ("we", "us", or "our"), together the "Service". By using the Service, you agree to these Terms.
Our Privacy Policy explains how we handle personal information.
Accounts
You must be at least 13 years old and meet any higher minimum age required where you live to use the Service. You must be at least 18 years old to make purchases. You are responsible for your account, the information you provide, and keeping your login credentials secure.
If you use the Service on behalf of a business or other organization, you must have authority to act for it and agree to these Terms on its behalf.
The Service
LateCheckOut helps people discover places and create and share recommendations and travel content. We also offer products and services for businesses, as described in the applicable offer.
Purchases
The description, price, and any additional terms presented when you place an order apply to that purchase. Preorders are purchases for future delivery. Payments are processed by third-party payment providers.
Contact us about orders, delivery, cancellations, or refunds. Nothing in these Terms limits any purchase or refund rights that cannot be excluded under applicable law.
Your Content
You retain any rights you hold in the content you submit. For public content, you give LateCheckOut a worldwide license that is non-exclusive, fully paid, royalty-free, transferable, and sublicensable through multiple levels. It allows us to store, reproduce, edit, translate, adapt, combine, create works derived from, publish, perform, display, distribute, and otherwise use and commercialize that content in connection with the Service and related products and services. This includes business offerings, advertising, promotion, syndication, and distribution through partners, in any existing or future media or format. We may also use the public name, username, or business branding you associate with the content for these purposes.
This license is perpetual and irrevocable except where applicable law requires otherwise. It survives removal of the content and closure or deletion of your account, and does not entitle you to compensation. To the extent legally permitted, you consent to the licensed adaptations and use with or without attribution, and waive moral rights that would prevent those uses.
For non-public submissions, you grant us permission to store, process, reproduce, adapt, and display them as needed to operate, protect, support, and develop the Service. Our handling of personal information remains subject to our Privacy Policy. No license overrides privacy, deletion, or other rights that applicable law does not allow you to waive. We are not obliged to retain or continue displaying any content.
Your profile and creator content, including maps, recommendations, and trips, are public and may be viewed, shared, or indexed by others. You are responsible for your submissions and confirm that you have the rights and permissions needed for the uses described above. Do not submit someone else's private information without authorization. Recommendations must reflect your honest experience or opinion; do not fabricate experiences or hide a paid or other material relationship with a business you recommend.
Acceptable Use
Do not use the Service for illegal activity, harassment, impersonation, spam, fraud, infringement, unauthorized scraping, security attacks, or interference with the Service. Do not attempt to access another person's account or reverse engineer the Service except where applicable law permits it.
We may review reports and remove content or restrict access for violations of these Terms, safety or security concerns, or legal requirements.
You can report content or suspected infringement using available reporting tools or Support. Include enough information to identify the content and explain your concern.
Our Intellectual Property
The Service, including our software, design, trademarks, and branding, belongs to us or our licensors. These Terms do not transfer ownership of that intellectual property to you.
If you send suggestions or feedback about the Service, you allow us to use them to develop and improve it without payment or an obligation to implement them.
Third-Party Services
The Service may include third-party content, links, and services. Those providers may have their own terms and privacy policies. We do not control third-party websites or guarantee the accuracy of their information.
Termination
You may stop using the Service at any time. You can request account deletion through supported account settings or contact us for assistance. Our Privacy Policy explains how we handle your information.
We may suspend or terminate access for violations of these Terms, risk to the Service or others, or where required by law.
Provisions intended to continue after termination, including applicable content rights, payment obligations, liability limits, and dispute terms, continue to apply to the extent permitted by law.
Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind. We do not guarantee uninterrupted or error-free operation.
Place, map, recommendation, and travel information may be incomplete, inaccurate, or change without notice. Verify relevant information before relying on it. We do not guarantee a particular business, publicity, or discovery outcome.
Limitation Of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability for claims relating to the Service is limited to the greater of $100 or the amounts you paid to LateCheckOut in the twelve months before the claim.
These limitations do not exclude liability or rights that applicable law does not allow us to exclude.
Disputes
These Terms are governed by the laws of the State of Delaware, subject to any mandatory protections that apply where you live. If you have a dispute, contact us first so we can try to resolve it.
Where permitted by applicable law, any dispute we cannot resolve will be settled by binding individual arbitration under the American Arbitration Association's consumer rules, except that either party may bring an individual claim in small claims court. You and LateCheckOut waive the right to a jury trial and to class actions to the extent permitted by law. You may opt out of arbitration by contacting us through Support within 30 days of first accepting these Terms.
Changes
We may update these Terms. We will provide notice of material changes where required by law. Continued use after the changes take effect means you accept the updated Terms, unless applicable law requires a different form of acceptance.
General
These Terms and any applicable additional purchase terms form our agreement for your use of the Service. If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision does not waive it. Nothing in these Terms limits mandatory consumer rights.
